i guess i've found yet another buggy bios, and there's no workaround in:
xen/arch/x86/io_apic.c: void check_timer(void)

Hardware: Abit KN9 Ultra (NVidia NForce-mcp55 series)
          AMD Athlon(tm) 64 X2 Dual Core Processor 4600+
          Current BIOS Update 1.5 from 08/21/2006.
          BIOS Vendor: Phoenix Technologies, LTD, Version: 6.00 PG, Release
Date: 08/11/2006.

Software: SLES10 IA32 with updates from 2006-09-28.
          kernel-bigsmp-2.6.16.21-0.15
          kernel-xenpae-2.6.16.21-0.15
          xen-3.0.2_09749-0.7

kernel messages:

ENABLING IO-APIC IRQs
 -> Using old ACK method

..MP-BIOS bug: 8254 timer not connected to IO-APIC.
...trying to set up timer (IRQ0) through the 8259A ... failed.
...trying to set up timer as Virtual Wire IRQ... failed.
...trying to set up timer as ExtINT IRQ... spurious 8259A interrupt: IRQ7.
failed :(.
...
panic on CPU0:
IO-APIC + timer doesn't work!

normal kernel boots fine with 'nolapic' parameter, but xenified kernel panics.
i've tried all possible kernel parameters combinations: nolapic noapic nosmp
maxcpus=0, doesn't change anything.
