I started changing the system setup:

Installing a slightly new udev version did not help, maybe an even newer one
will do as there are rumors Debians udev could be "guilty".

Another one helped me out now: Switching from binary release to source release
compiling two different small kernels for xen0 and xenU with a lot of
unnecessary modules dropped. 

Though this helped I still believe there is either a severe bug in xen binary
or Debian etch (and/or Ubuntu etch) leading to an unusuable system under some
circumstances.
