I just had the same bug using Xen 4.0.1 (4249p). XenCenter reported: 
VM didn't acknowledge the need to shutdown.

In the console I can see the error message right before the kernel crashed:
Bad page state in process 'xe-update-guest'

Trying to fix it up, but a reboot is needed

So this is not limited to Xen 3.x, but also 4.x. The VM was based upon the "Xen
Debian Etch 4.0" Template.
