Yes I have DHCP running on my network. Dom0 gets its IPs using DHCP. The DHCP server is not configure to in the way you described. We have VMware running in the same lab without any problems.

Here is my ifconfig output with DHCP

Dear Aravindh

1) Do you have a DHCP server running in your network?

2) Sometimes, DHCP servers do not serve an ip address

   range, instead they just respond if the mac address

   is in its list of fixed addresses. May be your DHCP

   server (if there is one) is configured that way...

3) From inside domU, if you issue a "ifconfig eth0",

   what comes up?
