SOLVED :)

I am using Gentoo64 and xen 3.0.2

The problem was the xen-tools was emerged without vnc flag and I had to emerge libvncserver.

xen-tools without vnc use flags resulted in following error in /var/log/qemu- dm.log
/usr/lib/xen/bin/qemu-dm: invalid option -- '-vnc'

Now after remerge + libvncserver it is working like a charm.

Set 'vnc = 1' in your domain's config file and use vncviewer to connect to it.
