It's very instrusting because i use this with the xen version :
xen-3.0.4_1-src.tgz
and i have no problem with win98se.

So can you write only that ? :

disk    = [ 'file:/path/windisk.img,hda,w', 
'file:/path/wincd.iso,hdc:cdrom,r' ]
