What version of Xen is that with? 

Daniel Berrange 
submitted a patch that is in 3.0.5-RC4 to fix a problem
with auto-balloning 
of Dom0. That fixes a problem that is very similar
to yours (if not the 
same). 

The workaround is to assign a fixed amount of memory to Dom0 
with
"dom0_mem=xxx" on the xen.gz boot line in your boot config file.
