ok, if i am allowed to just use the initrd that i found with locate this is my new .cfg:
kernel = "/boot/vmlinuz-2.6.18-8.el5xen"
ramdisk="/boot/initrd-2.6.18-8.el5xen.img"
memory = 2560
name = " centos.5-0"
vif = [ '' ]
dhcp = "dhcp"
disk = ['file:/xen/centos/centos.5-0.img,hda1,w', 'file:/xen/centos/centos.swap,hda2,w']
root = "/dev/hda1 rw"

and this is the error i am getting now:
Waiting for driver initialization.

Mounting root filesystem.

no fstab.sys, mounting internal defaults

setuproot: error mounting /sys: No such file or directory
Switching to new root and running init.

unmounting old /sys
switchroot: mount failed: No such file or directory
Kernel panic - not syncing: Attempted to kill init!
