I'm using Xen 3.1.4. It is a 32 bit host on a 32 bit kernel for dom0 but the machine is 64 bit.
Did you get this error as well => ERROR Internal error: Couldn't enable shadow mode

 

I thought it has something to do with PAE mode.

What version of Xen are you using? I had a similar problem when trying to
migrate a 32bit guest under a 64bit host with Xen 3.04. Xen 3.2 solved this
issue for me.
