Thanks for the tip. Fedora xen rpm worked. Previously i was using source packages.
But what is the solution if i use source package? I renamed the file xen-evtchn to evtchn in modules folder and did depmod , it didn't work.
Anything i need to change in source files ?

I think the latest dom0 kernels rename evtchn to xen-evtchn, so you need
to make sure those modules are loaded. xend requires them.
Latest Fedora xen-3.4.2 rpms should take care of that. If you installed
from source, then that's likely your problem.
