Have you used kernel 2.6.32 (or newer) on that hardware, Xen or not?
I'm beginning to think it's a serious upstream bug as I've just tried
F12 2.6.32.11-99.fc12.x86_64 normal (non-xen) kernel (which has sd_mod
built-in) and it experince the same symptoms.
