this looks to be a problem with dom0 config, not domU.

It's easier to help if you post:

#grep '^(' /etc/xen/xend-config.sxp ;    (dom0-cpus 0) is a safe value

#xm info

in domU
#ls -al /lib/modules/   ; chances are the modules are not compatible with dom0 
kernel
