The interfaces will be incompatible, so you can't run kernels for 2.x with 3.x 
Xen (or vice versa).  The tools will also be incompatible.

You'd have to keep the whole set of binaries (Xen, kernels, tools) for 2.x and 
(separately) all the binaries for 3.x.
