Yeah. The original kernel of Red Hat 6.2 was 2.2.x series, and not work
on Xen. This 2.4.x was one special prepared for xen.

Yeah... the 'root=' line was not working. I've got one image from Red
Hat 6.2 on vmware website, and I've used this to solve my problem.
