I used to have similar problems with PV VMs. The problem was the way I set the MAC for VMs. Try to follow the instructions given by the following link to set proper MAC addresses:

I have a Centos 5.1 x64 xen 3.2.0 box running a few CentOS 5.1 x64
pv's and Windows 2008 x64 hvm's. After some time, all pv's seem to
become unresponsive to some degree. If I try to xm console into them,
usually at first I can get a login prompt followed by a pwd prompt at
which point it seems to really hang. xm shutdown doesn't seem to be
able to get at it either. Any ideas what could be the issue?
