I had to reinstall all the 3.4 stuff and correct the "dom0_mem" in the grub.cfg and the "dom0_min_mem" in xend-config.sxp (making both of them equal and disabling balloonning ... I don't know why, but I have not seen any "cannot allocate memory" since the update.
