you don't get any grub output, just.. nothing?

take a look at /var/log/xen/qemu-dm-<yourmachine-name>.log
and /var/log/xen/xend.log and probably /var/log/xen/xend-debug.log

try to passthrough only one NIC, maybe 2 NICs are too much for xen right now...
