Seems like i was wrong. All what i could after:

linux rescue
chroot /mnt/sysimage

It was manually create in vi file "/boot/grub/grub.conf"  :-

default=0
timeout=5
title CentOS 5.4
        root (hd1,7)
        kernel /vmlinuz-2.6.18-164.el5 ro root=/dev/VolGroup01/LogVol00
        initrd /initrd-2.6.18-164.el5.img

Kernel and initrd values may be viewed via "ls /boot",
root value via "df -h"
Anyway, it's easier then reinstall.

Wait, linux rescue ( from DVD boot) should be able to recreate /boot/grub/grub.conf.
Something like:-
# grub-install /dev/sda (?)
I haven't worked with CentOS for a while.

Success.  What Boris described below worked - the second time.  [The first time, it wiped out my grub menu and, being a relative newbie to linux itself, I was unable to rebuild it successfully, so I had to re-install.  Lesson: Always make a copy of the grub.conf somewhere when doing kernel upgrades :)]

Setup Xen 3.4.2 & Libvirt 0.6.3 on CentOS 5.3 (2.6.18-194.11.1.el5xen)
1.
# cd /etc/yum.repos.d/
# wget http://www.gitco.de/repo/GITCO-XEN3.4.2_x86_64.repo
2.
# yum groupremove Virtualization
# yum groupinstall Virtualization

Then reboot with entry:-

title Xen 3.4.2 on CentOS (2.6.18-194.11.1.el5xen)
