Just one suggestion, try new xl stack on 4.1 , start xencommons , not xend .

Try pvops xen 2.6.32.xx or better xenified suse kernel from ftp.suse.com
, 2.6.37 from OpenSUSE-11.3 src. Im having very good experience with
this kernels.
BTW, use only stanard VESA driver in kernel, don`t use any other.

I have got xen 4.0.1 (x32) and Linux 2.6.32.24 (x32) running fine. So
time to upgrade to 4.1 (x64) and linux 2.6.38 (64). And now I am running
into some problems. After scrubbing the memory the screen looks weird. I
do not know whether this is a problem or not. A 'screen capture' is at:

An some more problematic xend will not start. After 'xend start' the
prompt does not return and after while this appears in dmesg:
