sorry for my own dumbness
i used an OLD/different Version if the netbsd-INSTALL_XEN3_DOMU.gz ...
this was not finding the disk, its doesnt matter file or disk or partition
...

now i am using the "right" version of the netbsd-INSTALL_XEN3_DOMU.gz 
installer
ftp://ftp.netbsd.org/pub/NetBSD/NetBSD-6.1/amd64/binary/kernel/netbsd-INSTALL_XEN3_DOMU.gz

and it works like a sharm
