This usually means that the image you're trying to load isn't a valid 
ELF image (or is of the wrong 'arch' for the hypervisor, e.g. PAE kernel
on 32 bit xen). 

What's in /var/log/xen/xend.log and /var/log/xen/xend-debug.log ?
